These Terms apply to all Services provided by Instratagence LLC ("we," "us," or "our"), including but not limited to the App, websites, digital tools, APIs, data systems, and any other products or platforms now or hereafter developed. You must be at least 18 years old to use our Services.

2. License Grant

Instratagence LLC grants you a limited, revocable, non-exclusive, non-transferable license to access and use the App and related Services for lawful, personal, non-commercial purposes only. All intellectual property remains the exclusive property of Instratagence LLC.

3. User Responsibility and Assumption of Risk

You are solely responsible for all use of the Services, including any reliance on outputs, analytics, or financial projections. You acknowledge that:

• You use the Services entirely at your own risk.
• You are solely responsible for compliance with all applicable laws and regulations.
• Instratagence LLC is not responsible for your actions, decisions, or outcomes resulting from use of the Services.

4. Financial and Tax Tools Disclaimer

All financial, budgeting, or tax-related features are provided for informational purposes only. They do not constitute financial, accounting, legal, or tax advice. You agree to consult qualified professionals before making any financial or tax-related decisions.

5. General Disclaimer

The Services are provided on an "as is" and "as available" basis without warranties of any kind, express or implied. Instratagence LLC makes no guarantees of accuracy, reliability, timeliness, or suitability. We expressly disclaim all warranties of merchantability, fitness for a particular purpose, and non-infringement.

6. Limitation of Liability

To the fullest extent permitted by law, Instratagence LLC, its owners, officers, employees, affiliates, contractors, licensors, successors, and assigns shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to:

• Loss of data, profits, revenue, or business;
• Errors, omissions, or inaccuracies in data or results;
• Unauthorized access or breaches;
• Service interruptions, failures, or errors;
• The acts, omissions, or negligence of any third party; or
• Any other event beyond our reasonable control.

This limitation applies to all legal theories, including contract, tort, negligence, strict liability, and statutory claims, even if we were advised of the possibility of such damages.

7. Third-Party Disclaimer

Instratagence LLC may utilize, integrate, or link to third-party products, software, or services, including but not limited to Supabase, Firebase (Analytics and Crashlytics), Sentry, and RevenueCat. We may integrate additional third-party tools or SDKs in the future. We do not control, endorse, or assume liability for any third-party content, data handling, actions, or failures. Your interactions with third-party services are governed by their respective terms and privacy policies. Instratagence LLC shall not be liable for any damage, loss, or issue arising from third-party integrations or actions.

8. In-App Purchases and Subscriptions

All in-app purchases, subscriptions, and promotions are managed exclusively through Apple App Store and Google Play Store. Free trials or promotional pricing may be offered and will automatically convert to a paid subscription unless canceled before renewal. Subscription management and cancellations must be handled through your respective app store account settings. Refunds are processed in accordance with the policies of Apple and Google.

9. Data Rights and Usage

By using our Services, you grant Instratagence LLC the perpetual, worldwide, transferable, and royalty-free right to collect, store, process, analyze, modify, distribute, commercialize, license, sell, and otherwise use any data—personal, anonymized, aggregated, or derivative—to the fullest extent permitted by law. This includes use for business operations, analytics, product improvement, research, and AI model development. Instratagence LLC reserves the right to engage in lawful commercialization, licensing, or sale of anonymized or aggregated data in the future, subject to applicable law.

10. Modifications and Updates

Instratagence LLC reserves the right to amend, modify, or replace these Terms or any aspect of the Services at any time and without prior notice. Updates become effective immediately upon posting. By continuing to use any Service, you automatically agree to and are legally bound by the latest version of the Terms and Privacy Policy. You are solely responsible for reviewing the Terms and Privacy Policy periodically for updates.

11. Security Practices

Instratagence LLC implements reasonable administrative, technical, and physical safeguards, including HTTPS for all API communications, encryption in transit, encryption at rest where applicable, and limited employee access to data. We may update and enhance our security measures over time. No system is entirely secure, and use of the Services is at your own risk.

12. International Use and Data Transfers

Instratagence LLC currently operates primarily within the United States but may expand Services internationally. Where required, we will comply with applicable international data transfer laws, including the EU-U.S. Data Privacy Framework and standard contractual clauses, to ensure lawful cross-border processing.

13. Governing Law, Arbitration, and Class Action Waiver

These Terms are governed by the laws of the State of Tennessee, U.S.A., without regard to conflicts of law. Any dispute arising from or relating to the Services shall be resolved exclusively through binding arbitration in Nashville, Tennessee, under the rules of the American Arbitration Association. You hereby waive the right to participate in any class action, class arbitration, or representative proceeding against Instratagence LLC.

14. Force Majeure

Instratagence LLC shall not be liable for any failure or delay caused by circumstances beyond its reasonable control, including but not limited to natural disasters, cyberattacks, system failures, labor disputes, pandemics, or government actions.

15. Severability, Waiver, and Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force. Failure to enforce any right does not constitute a waiver. These Terms and the Privacy Policy constitute the entire agreement between you and Instratagence LLC, superseding any prior agreements.

16. Survival of Terms

All disclaimers, limitations of liability, indemnities, and data rights provisions shall survive termination or discontinuation of your use of the Services.

We may collect the following categories of data, as permitted by law and disclosed to users through applicable app store requirements:

• Contact Information: such as name, email, or account details.
• Financial Information: including budgeting data, transactions, and financial entries.
• Identifiers: device identifiers, user IDs, or session tokens.
• Usage Data: app interactions, feature usage, and event tracking.
• Diagnostics: crash logs and error data through Firebase and Sentry.
• Location Data: approximate or precise location where permitted.
• Subscription and Purchase Information: managed through RevenueCat.

2. How We Use and Share Data

Instratagence LLC may use, analyze, process, commercialize, license, or sell any legally permissible data in any lawful manner, including for:

• Operating and improving Services;
• Developing AI and analytics tools;
• Marketing, licensing, or commercial partnerships;
• Research and innovation;
• Compliance with applicable law and security obligations.

We may engage trusted third parties, including Supabase, Firebase, Sentry, and RevenueCat, each operating under their own privacy policies. Instratagence LLC does not control or accept liability for third-party actions, omissions, or data practices.

3. Security and Retention

Instratagence LLC employs reasonable safeguards, including HTTPS, encryption in transit, encryption at rest where applicable, and limited employee access. Data is retained only as long as necessary for operational, legal, or compliance purposes.

4. User Rights

Users may contact contact@instratagence.com to request access, correction, or deletion of data, subject to verification and legal requirements. Instratagence LLC reserves the right to deny any request as permitted by law.

5. Data Sale and Commercialization

Instratagence LLC reserves the right to engage in lawful commercialization, licensing, or sale of anonymized or aggregated data in the future, subject to compliance with applicable laws. Users may be provided opt-out mechanisms where required by state or federal law.

6. Updates and Automatic Acceptance

Instratagence LLC may revise this Privacy Policy at any time, with or without notice. The revised version takes effect immediately upon publication. By continuing to use any Service after an update, you automatically and irrevocably accept the new terms.

7. Children's Privacy

Our Services are not directed toward children under 13, and we do not knowingly collect their data.

8. Account Deletion

Users may request deletion of their account and all associated personal data by contacting us at contact@instratagence.com. Please include the subject line "Account Deletion Request" and the email address associated with your account. We will verify your identity and permanently delete your data in accordance with applicable laws within a reasonable time.
